About Brett

Brett’s practice is predominately focused on corporate finance and mergers and acquisitions. In this capacity, he helps clients in various industries achieve sustainable growth by strategically advising them about the procurement of debt and equity capital and with entity consolidation. Brett has represented both lenders and borrowers in the negotiation and drafting of nine figure project finance credit facilities. He has also represented buyers and sellers in complicated, multistate M&A deals. He understands the desired goal of both sides to any transaction and knows how to effectively advocate for the best interests of his clients. Brett’s multi-faceted understanding uniquely positions him to more efficiently achieve clients’ aspirations.

In addition to his corporate finance and M&A work, Brett drafts, reviews, and interprets high-dollar construction, procurement, management, supply, marketing, employment, and other commercial contracts. Brett’s practice also involves advising clients regarding securities law compliance, the acquisition and disposition of real estate, and corporate organization and governance.

Brett provides a wide array of tailored, practical guidance to agribusiness, financial, healthcare, hospitality, insurance, manufacturing, renewable energy, and technology companies, among others. He has considerable experience in all stages of a transaction, no matter the structure or complexity involved. From the drafting of the initial letter of intent to the resolution of post-closing obligations, Brett stands with clients each step of the way.

  • $33 million construction agreement for improvements to renewable energy facility (representing vendee)
  • $30 million grain elevator asset acquisition (representing buyer)
  • $20 million senior secured revolving term loan for ethanol facility (representing borrower)
  • $15 million interstate subordinated debt issuance by financial institution (represented issuing borrower)
  • $14 million merger involving affiliated entities resulting in the deregistration of equity securities with the United States Securities and Exchange Commission (representing affiliated entities)
  • $7.5 million in aggregate apportioned funds awarded to two clients arising from a matter of first impression before a federal agency
  • $4 million REDL credit facilities for two renewable energy plants on aggregate basis (representing borrowers)
