Thomas advises clients on a wide variety of corporate matters, including mergers and acquisitions, securities offerings, commercial transactions, and corporate governance. He regularly plays key roles in complex transactions, collaborating closely with clients and colleagues to conduct thorough legal research, due diligence, and contract drafting.  He also advises directors, officers, and other corporate constituents on various matters related to corporate organization and governance.

Thomas provides legal counsel to clients seeking to raise capital through private securities offerings. He assists clients in structuring and executing  Reg D offerings, including 506(b), and 506(c) exemptions, ensuring that all aspects of the process comply with federal and state securities regulations. Thomas is dedicated to delivering practical, results-driven solutions that allow clients to achieve their business objectives.

Representative Transactions

• Negotiation and execution of multi-million dollar carbon capture and sequestration project development and finance package 
• Participated in $205 million credit facility for acquisition financing of three renewable energy facilities and capital investment in carbon capture and sequestration projects
• Provided guidance on $2 million private securities offering
